1. About these Terms
These Terms of Use ("Terms") form an agreement between you or the organisation you represent ("Customer", "you") and BIENS LIMITED ("Wordesk", "we", "us"). Wordesk.ai is a BIENS LIMITED product. By accessing our website, creating an account, or using the service, you agree to these Terms. A signed order form or separate written agreement will prevail if it conflicts with these Terms.
2. Eligibility and authority
You must be at least 18 years old and legally able to enter into a contract. If you use Wordesk for an organisation, you represent that you have authority to accept these Terms on its behalf. Wordesk is intended for business use.
3. Accounts and access
You must provide accurate account information, keep credentials confidential, and promptly notify us of suspected unauthorised access. You are responsible for activity under your account and for managing the permissions of your users. You may not share accounts in a way that bypasses agreed user limits or security controls.
4. The Wordesk service
Wordesk provides AI-assisted customer conversation, product recommendation, routing, analytics, and commerce workflow tools. Features depend on your plan, configuration, connected services, and any applicable order form. We may improve or modify the service, provided we do not materially reduce the core functionality of a paid service during the applicable subscription term.
5. Customer responsibilities
You are responsible for configuring and supervising your use of Wordesk, the accuracy and legality of instructions and content you provide, and your communications with end customers. You must provide all required notices, obtain necessary permissions and consents, and ensure your use complies with consumer, privacy, marketing, e-commerce, and messaging laws.
6. Connected services
Wordesk may connect to third-party services such as e-commerce platforms, messaging channels, calendars, and AI providers. Your use of those services is governed by their own terms. You authorise us to exchange data with a connected service as needed to provide the requested functionality. We are not responsible for changes, outages, restrictions, or actions of third-party services.
7. Customer data and privacy
You retain ownership of data and content you submit to Wordesk. You grant us the limited rights needed to host, process, transmit, and display that data to provide, secure, and support the service. You confirm that you have all rights and lawful bases necessary for us to process the data on your behalf.
Our Privacy Policy explains how we handle personal data. Where we process end-customer personal data on your behalf, you act as controller and we act as processor unless otherwise agreed in writing.
8. AI-generated output
AI output may be incomplete, inaccurate, or unsuitable for a particular context. You are responsible for choosing when automation is enabled, reviewing output where appropriate, and ensuring that messages, recommendations, prices, availability, and actions are correct before relying on them. Wordesk does not provide legal, financial, medical, or other professional advice.
9. Acceptable use
You may not use Wordesk to break the law, infringe rights, send unlawful or unsolicited communications, distribute malware, attempt unauthorised access, interfere with service operation, evade usage limits, reverse engineer protected parts of the service, or process prohibited content. You may not use Wordesk to make unlawful discriminatory decisions or to cause harm.
10. Intellectual property
BIENS LIMITED and its licensors own Wordesk, including its software, design, documentation, trademarks, and related intellectual property. These Terms give you a limited, non-exclusive, non-transferable, revocable right to use the service during your authorised subscription or access period. Feedback you provide may be used to improve Wordesk without restriction or payment.
11. Fees and payment
Fees, billing frequency, usage limits, taxes, and subscription term are set out in your order form or selected plan. Unless stated otherwise, fees are non-refundable and exclusive of applicable taxes. We may suspend paid features for overdue undisputed amounts after reasonable notice.
12. Availability and support
We aim to provide a reliable service but do not guarantee uninterrupted or error-free operation. Maintenance, security events, internet conditions, and third-party platforms may affect availability. Support levels and any service commitments apply only if included in your plan or a separate written agreement.
13. Suspension and termination
You may stop using Wordesk at any time, subject to your subscription commitments. We may suspend or terminate access if you materially breach these Terms, create a security or legal risk, fail to pay undisputed fees, or use the service in a way that could harm Wordesk or others. On termination, your right to use the service ends and data will be handled in accordance with our agreement and Privacy Policy.
14. Disclaimers and liability
To the fullest extent permitted by law, Wordesk is provided on an "as is" and "as available" basis and we exclude implied warranties that may lawfully be excluded. Nothing in these Terms limits liability that cannot be limited by law, including liability for fraud, fraudulent misrepresentation, or death or personal injury caused by negligence.
Subject to the previous sentence, neither party is liable for indirect or consequential loss, loss of profits, revenue, goodwill, or anticipated savings. Our aggregate liability arising from the service will not exceed the fees paid or payable by you for the service during the 12 months before the event giving rise to the claim, unless a signed agreement states otherwise.
15. Governing law and contact
These Terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction, unless mandatory law requires otherwise. We may update these Terms and will post the revised version with a new date. Material changes will apply prospectively with reasonable notice where required.
